1. These terms document the legally binding terms and conditions attached to the use of auspexmedia.com and conducting business with Auspex Media, LLC.
2.By using , accessing, or browsing auspexmedia.com in any way- or by conducting business with Auspex Media, LLC- you represent and warrant the following:
(2A)- that you have read the Auspex Media, LLC Terms of Service, understood the stated therein and you hereby agree to engage with the Auspex Media , LLC under its terms; (2B) that your age does not limit you from lawfully engaging in this Agreement and that you are not legally prohibited from entering into this Agreement; (2C) that you are authorized to enter into and perform the Agreement for yourself or for the entity which you represent.
3. The content contained in auspexmedia.com is protected by applicable copyright, licensing, and trade mark law.
4. Disclaimer - Content on auspexmedia.com or created by Auspex Media, LLC and all services provided by Auspex Media, LLC are provided “as is”. Auspex Media, LLC makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Furthermore, Auspex Media, LLC does not warrant or make any representations concerning the accuracy, likely results, or reliability of content created by Auspex Media or of the use of content on auspexmedia.com or otherwise relating to such materials or on any sites linked to this site.
5. Limitations - In no event shall Auspex Media, LLC be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the content on auspexmedia.com or the content created by Auspex Media, LLC- even if Auspex Media, LLC has been notified orally or in writing of the possibility of such damage.
6. Revisions and Errata - The content appearing on auspexmedia.com could include technical, typographical, or photographic errors. Auspex Media, LLC may make changes to the materials contained on its web site at any time without notice.
7. Links - Auspex Media, LLC has not reviewed all of the sites linked to auspexmedia.com and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Auspex Media, LLC of that site. Use of any such linked web site is at the user’s own risk.
8. Terms of Service Modifications - Auspex Media, LLC may revise these Terms of Service for its company and web site at any time without notice.
9. Governing Law - Any claim relating to Auspex Media, LLC or auspexmedia.com shall be governed by the laws of the State of Florida.
10. Auspex Media, LLC uses Adobe Stock for audio and/or visual assets when necessary for completing a client project. Should Auspex Media, LLC produce any content containing an Adobe Stock asset- the license for use of the Adobe Stock asset within the content is transferred to the client. For this reason, the client agrees to be bound by Adobe General Terms of Service and Adobe Stock's Additional Terms of Service.
11. Auspex Media, LLC makes no warranty or claim for how content may be used once delivered to client. As such, Auspex Media, LLC is not liable for the remediation of content which has been improperly posted by client, improperly used by client, or in breach of the Terms of Use from Auspex Media, LLC , Adobe, Adobe Stock, YouTube, Instagram, or any other entity. Once any content has been sent to the client, the client assumes all legal and technical responsibility for the proper use and presentation of the content- whether it contains an Adobe Stock asset or not.
12. Should any content created by Auspex Media, LLC for a client be flagged at any point in time , for any reason - it shall be the sole responsibility of the client to resolve the situation as the Client has assumed all legal and technical responsibility for the content. Auspex Media, LLC is under no obligation to help resolve this kind of situation for the client.
13. In the event that Auspex Media, LLC is required by law or legal obligation to help remedy a situation as described in Section 10, 11, and 12 - the client agrees to fully compensate Auspex Media, LLC for all expenses incurred to remedy the situation.
14. Any content created by Auspex Media, LLC may be used in whole or in part for the portfolio or marketing purposes of Auspex Media, LLC and Ezekiel "Zeke" Hazewinkel.
15. Auspex Media, LLC operates on a "first come first served" basis; however, Auspex Media, LLC is under no obligation to take on any client and may refuse service for any reason at any time.
16. Any content created by Auspex Media, LLC will be subject to having music and audio curated by Auspex Media in the final edit sent to client.
17. Auspex Media, LLC is not responsible for any shipping damages suffered by photographic material sent to Auspex Media for "Photographic Restoration". This includes when the material is sent back to the client.
18. Gallery/Boutique, Fine Art Commission, and other content may be subject to sales tax.
19. Should any part of this Terms of Service Agreement be found unenforceable by a court of law- the rest of the agreement shall remain in full effect.
